BURD LLC Content Creator Agreement This Content Creator Agreement ("Agreement") is entered into between BURD LLC ("Company") and the undersigned creator ("Creator"). 1. Scope of Work Creator agrees to produce sixty (60) short-form video pieces per month ("Content"), to be published twice per day over a thirty-day period on TikTok and Instagram, subject to Company approval. 2. Compensation & Payment Conditions Company agrees to pay Creator $250 per month. Payment shall be made within fourteen (14) days of content approval. The Company shall have no obligation to pay for Content that falls into any of the following categories: • Content that is not submitted, is incomplete, or is late • Content removed, restricted, or penalized due to community guideline violations or platform policies • Content that does not reach a minimum of 250 views • Partially completed work, revisions, reshoots, or future deliverables following termination • Creators located outside of the United States, Australia, or the United Kingdom 3. Ownership & Usage Rights All Content created under this Agreement shall be considered work made for hire and shall be the exclusive and perpetual property of BURD LLC. To the extent any Content does not qualify as a work made for hire, Creator hereby irrevocably assigns to the Company all right, title, and interest in and to the Content worldwide. No further approval or compensation shall be owed for any use of the Content. 4. Liability & Indemnification Creator agrees that the Company shall not be liable for any reputational, financial, or business impact resulting from the publication or use of the Content, and Creator releases and holds the Company harmless from any claims, damages, losses, or liabilities arising from the Company's use of approved Content, except in cases of willful misconduct by the Company. 5. Term & Termination This Agreement operates on a week-to-week basis. The Company may terminate this Agreement at any time, with or without cause and with or without notice, in its sole discretion. Creator may terminate this Agreement by providing written notice to the Company. Upon termination for any reason, the Company shall only be obligated to pay for Content that has been fully completed, submitted, and expressly approved in writing by the Company prior to the termination date, subject to the payment conditions set forth in Section 2. All ownership rights, usage rights, and limitation of liability provisions shall survive termination. 6. Independent Contractor Status Creator is an independent contractor and not an employee, partner, or agent of the Company. Creator is solely responsible for all taxes, insurance, and business expenses. 7. Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements. Any amendments must be made in writing and signed by both parties.
